    For the ones that don't know.

    I am leasing a space in my office known as Suite 101, to The Church Of The Good Earth. That is so we have a physical presence as an Entity, until we have another location availble to suit our needs.

    This space is a lock type box I keep our papers/petty cash in. It does not extend to any other place in my domain.

    Okay, Kenny showed up. HI.

    Don't know that we need a lease. If we want one just as a technicality, then lets do it.
    I think, just find something online and change the words, names, and addresses.

    I'll cough up the buck for the lease.

    I think that would would be proper for all three officers to sign it. That would simply mean mailing it around to each and back to Texas. I think in tripicate. Three copies. or better yet, Three copies to be held at the office and two more one to be held by Ranger and one for me to hold. All of the bases are very covered.

    I am the General Secretary, reporting.

    For the record. The is the First Board of Director's meeting of the Church of the Good Earth, a duly recorded body, as a nonprofit corporation in the State of Texas.

    This meeting is open to the public.

    As we all do know each other, this is a very informal meeting. And the use of nick names is allowed. The three officer's full names are recorded with the State of Texas. All board member full names are available at the corporate office, upon request.

    The General Secretary officially reports:

    As this is the first Board meeting, there is no agenda and there is no old business.

    Note: This meeting was preceded by a general membership meeting, held within the past 31 days, where upon was drafted and approved by unanimous vote, our articles of incorporation consisting of a mission statement and our by-laws.

    Just a technical note.

    From what I understand of IRS rules, we don't need to track and report any moneys that exist before the actual incorporation date. Formation date of the corp or body is day one. The birth date. Books should start from there.
    What ever amount.

    That is the technical.

    On the other hand, as we received the starting donation before the start of the corporation, maybe we can claim write it up that way and they wont care as we were and existing church before the incorporation date.

    What I'm trying to express is that the corporation can't possibly own or do anything on a date before it even existed. That is how the IRS and the State views it. You can't do stuff before you were even born.
    Make any sense?

    All prior money would be considered as start-up costs. Start-up costs that are before the start date do not normally go on the books as the books would start on the day of incorporation. Get it?

    Anything before that date would be a wash (start up costs). The IRS does not want folks to include start-up costs. Only money in and out after incorporation.

    I believe that we should start the books with whatever is the cash on hand at the time of incorporation and that cash on hand should simply be listed as a donation. Whatever the amount was, on that date.

    In other words if that was $47.22 on that date, then that's it. We go from there.

    I wonder what the astrology birth chart would look like for the corporation? Curious.

    In news business, I was wondering, as a technicality, should we as the board vote on and approve our statement and our by-laws?

    Or is that overkill?

    What do you guys think?

    I thought that 'status quo' was simply that report on out status.
