    The record is showing that not everyone is present at this part of the meeting, namely Dan and Chris, also the record is showing that Chris is not wishing to be a part of the vote.

    This would leave 5 in attendants at this meeting at this time. 5 would be unanimous.

    Lets the minutes reflect that

    C.M. Craven is elected as president - 5 to 0 - unanimous
    Mary Clanton is elected, sharing as co-president - 5 to 0 - unanimous

    Kenneth W. Heller is elected as General Secretary - 5 to 0 - unanimous
    Mary Clanton is elected, sharing as co-General Secretary - 5 to 0 - unanimous

    Mary Clanton is elected as the General Treasurer - 5 to 0 - unanimous

    And is offered certification by our new co-president, co-General Secretary, and General Treasurer, as true and correct.

    Further, let the record reflect that Mary Clanton has accepted and is elected, sharing a position as co-president

    We should always ask for "Any further business" before offering to close a meeting. Its a nice thing to do. And it makes it legal.

    I would move the all open votes and topic that are on the floor be closed, and with a second, a vote then be taken to close those votes and items.

    The chair then ask for "Any further business"

    I would think it appropriate to, after this meeting, go to opening our first Executive Board Meeting, with the agenda for that meeting to be to come together to vote on and to affirm the Mission Statement, the Bylaws, the elections of the Board Members, the president, Secretary, and Treasurer persons, and all other items that were approved.

    A quick official Board Meeting.

    Looking for advise from Cris on this. Before WE File anything. Or Chris, Can we file with NO Board Meeting. Somebody e-mail Chris and ask.

    I make that a Motion to do a Board Meeting, and make it all official.

    Is that a Second?

    My big point is that I don't know if we must have a board meeting first before mailing in the paper work. I'm just trying to be careful and to do it right and not make mistakes.

    Chris would know off the top of his head. I'm thinking.

    Do you have a way to get in touch with him to ask? E-mail address?

    What was the meetings, motions and votes if not to make these binding. We are, with the minutes ready to file, that is, if there is no more business to discuss.

    We do not need Chris's ok to proceed as he is not an Officer. His input would be appreciated/valued, but to have to have Chris's approval to move forward is not required.

    This meeting has been open for two weeks and all parties concerned have been notified. Everyone that wanted to be involved has been and those who only want to be in the background by their own choice should be respected and let be.

    Okay, I know you want to just "Shut 'er down"

    You do know that you have to make a motion to end a meeting, get a second. ask for objections or debate.

    You have to take a vote to close a meeting.
    Ya don't just jump out and say, "Okay, meeting Closed." And that's it.

    We need a vote to close.

    I just now put a motion on the floor.
    I also mentioned that we must vote to close all of the separates votes and other issues.
    There was a motion that was seconded to vote to close the electing of Board Members. it received only 2 votes and was further ignored. There was a motion put forward to close some other vote and I recall, it was ignored, and there was no second.

    We can't close a meeting with open votes and open issues on the floor.

    Well, we CAN, but it might make the entire meeting invalid. Do we want that? Just cause we're in a hot hurry? I don't think so.

    There is business that is still officially open. Not yet closed.
    And there is currently a new motion on the floor. Awaiting a second.

    There is business to discuss.

    There is NO vote to close the meeting.

    This is a General Meeting as described in the bylaws. All Operational Members may attend and vote.

    A Board Meeting is a separate critter.
    As described in the bylaws.

    2 different types of meetings.
    I know that we may think that we are killing two birds with one stone. But WE ARE NOT. You can't just say that you are having 2 meetings at once. You Must have 2 different meetings. Are we going to do what the I.R.S. wants to see. Or just whatever.

    Because if we are just going to do whatever we want. And not do what the state and the fed expect to see us submit to them, my writing the minute is a waste of my breath. They'll cancel our ass.

    The question for Chris would be do we have to have a Board Meeting before we file???

    Y'all do it all YOUR WAY. We'll let the state decide and reject OUR WAY.

    Why I am on this is that Chris did mention something about exactly this subject.
