    Should our bylaws spell out our organization’s purpose and mission? Isn’t it helpful to have a clear statement of purpose as one of the first provisions? --From multiple sources.

    This is a matter of personal preference, and it is not illegal to include a detailed purpose clause or mission statement in an organization’s bylaws. I don’t think it is a good idea, however.

    Bylaws set the procedural rules for governance. They are not policy statements. In our basic form of bylaws, we simply say that the purposes of a nonprofit organization are those set out in the articles of incorporation. (See Ready Reference Page: “Bylaws Function as ‘Constitution’ of Nonprofit Corporations”) The provision never has to be changed, even when the articles of incorporation are amended.


    The bigger reason, however, is that purposes and mission statements morph over time. It seems a waste of time to have to amend the bylaws every time there is a modification of the mission. But if the work of the organization does shift -- to undertake a new program not previously envisioned in the mission statement, for example -- and if the bylaws are not amended to include the new activity, a disgruntled member or director could sue to stop the new venture as unauthorized. We don’t think most organizations will actually amend their bylaws every time they undertake a new program not contemplated in the last mission statement, and don’t see any reason to create the opportunity for such suits. Prevention is the best defense to litigation

    This comes from the NON-Profit law folks that I paid for a while to insure I was compliant and about different projects as they came up and did I have to mess with BY LAWS

    Keeping it simple was and is a benifit!

    We have 6 ppl in favor of the bylaws and mission statement. and no one against. I Motion the mission statement and bylaws stand as written and we close the voting on the bylaws and start proceedings to elect our Officers.

    I vote Yes on the entire Articles of Incorporation.

    shameless_heifer I don't see where you voted. And I only count Spud and Mike and Myself, so far, who voted for All. So, I only count 3 so far. Perhaps you can help me see the other votes, since I posted the entire thing. From there to hear, I don't see that many votes. Course I do have vision problems. LOL

    Were you thinking of voting? Mary?

    Could I suggest that we could move on to Nominating (Move or motions and Seconding) For the Board, while still allowing the debating and voting to stay open for a while. Others may yet come back.

    Yeah, I hear you, Brother.

    I do agree.
    Everything that I've read about what a mission statement should say, says to NOT pigeonhole yourself or your organization. Don't paint yourself into a corner.

    Totally avoid being specific.

    When you officially tell the government who you are and what you do, be very very general with what you say. Otherwise it could come back and bite you on the ass.

    Mission Statement

    We have formed a Church. or We're a Church.

    Done

    The more you say, the more you Restrict yourself and your own abilities to do anything.

    Like I can tell the state that I'm a church but I don't have to go on to tell them what I believe in. Its none of their F__ing business. Remember, separation of Church and state?

    I keep saying to everyone, please write your own mission statement and submit it. But keep it open and vague. Keep it general.
    Don't list anything specific. 'Cause if you say we're going to build a building and then you don't do anything that you have stated, you are in violation of your own mission statement. Which means they can close you down as a corporation.

    A mission statement as your articles of incorporation is not at all what you and I would think of as a mission statement. We would think that it mean OUR MISSION is to do this that and the other.

    What the gov means by the team mission statement is ONLY:
    What kind of a group or business are you?
    Very basically what does it do? Sell pizza. Have church meeting.
    What is the name of your group.

    That's all. Plain and simple.
    The government doesn't want to know your shoe size. They don't want a long list of what you believe and how your heart feels right now.

    They just want Name, Rank, and serial number. They are a bureaucracy, not your mother.

    I hope that folks can get that.
    If we want to express all kinds of wonderful loving things that we're about, we can keep that in-house. The government doesn't want to hear it.

    Mike Bedell's Vote can't be recorded in someplace that is not THE MEETING, that vote can not be legally recorded in the minutes of the meeting.

    The meeting is here not there. You saying to Mike that in counts over there, doesn't count just because the Chairperson says it. (Doesn't make it true.)

    The official meeting is not over there, and the meeting is not at the Happy Hippie House either.

    You need to break it to him that that was incorrect. The very bylaws that we are voting on say that you have to be present to vote. "Teen Hippies" forum is NOT present.
