Hi all I am not asking for ANTYHING but just offering something that might be of help.

Before you have your meetings re bylaws, officers, directors etc, DID you Check with your State of Incorporation on the legal isssue that MUST be your first order of Business.
1. IS the Name that you wish to use available to Incorporate under, This can be done by a phone call to Secretary of States office or their web site.

AND Did any one FILE any articles ( a one page doc ) so that you can even hold your meetings as an ENTITY? IF you have the original papers from CA or where ever try to look at that name to ensure that you will be granted the NAME. Just a bit of info. AND Ranger makes one of your most important issues you want to be able to avoid ties in decisions WHENEVER possiable as a ties go to NONE/NADA and can stop anything you want to vote on in limbo or keep it from ever happening.?/

Lastly
There can be a SINGLE INCOPORATOR who gets the inital paper work filed (THAT DOES NOT HAVE BYLAWS) so that the entity can become a legal entity THEN that Incoporator turns over these State approved to the Organazation for its INITIAL meeting to discuss discribe ammended Bylaws and elect/appoint officers yada yada yada. ONLY offered if it helps as I know that waves were created at the lack of memories of myself in past so I intend to not inflict damage only offer some information. lastly*again* the State of Texas Legislature I think only meets semi annualy so the Sec of State office should be checked to insure that you can begin at any time you want.

I sent an email to do an entity search with the state and asked if we could use the same one ( name) we filed under in Feb of 1970. Will let ev1 know when I get a response.

 

I have read and understand the amendments as offered in post #155 and vote "aye" on each.

I have read and understand all the items offered in post # 143 and vote "aye", separately and inclusively on each EXCEPT that I reserve my "aye" to be recorded in favor of the amended language as specified above.

You can bounce in and out and vote and stuff if you'd like. You certainly are a part of this website.

As to legal issues, from what I have read online, anyone can have a church. Any church can be legit. With or with out incorporation.

So, we are a church. i.e. I think, therefore I am.

So, from what I've read we can have one meeting or meeting back to Jesus. That seems to to a non-issue.

It seems that when you file with the state, they want you mission statement and stuff approved by vote. and the date. A list of officers with addresses.

We just trying to get a vote and an adoption. Like a debate and a vote. so we can go forward.

The California mission statement and bylaws are long gone. the status was lost back in like 1974 or something. So, we're starting fresh in a new state. A state where one of us is stable and owns a house. Most are renters. That makes sense.

It is so noted that Kenny Heller, Ac Smith and Mary Clanton have voted in favor of the by laws and mission statement for The Church Of The Good Earth herein. Do we have any other votes before the vote is counted.

A point of order, Madam Chairwomen.

AC Smith has requested that something in post # 143 be amended. I appreciate that, and as a point of order would respectfully submit before the chair, that if an amended section should be should be presented that it should be presented in writing, in full, and that a motion be made to replace the existing wording of the existing Section that is currently up for debate and for a vote.

That than would require a Second.

I can only imagine that this would lead to voting for either version A or version B. As the existing version is currently up for a vote.

You guys figure it out. I'm going home. LOL

Regardless it should be submitted in writing and a motion be made. Parliamentary procedure.

Just a thought.

Well, Ranger and AC aren't here. Now what do we do?

I think that what was in question was.

ARTICLE V: FINANCIAL POLICIES
Section 6: CONTRACTS
Authority to sign contracts is limited to the President or the President’s designee.

I have already voted yes on it. Mary has already voted yes on it.

Its not my job to submit a different version for this and make a motion that it be changed out or surplanted and put up for a vote against the version the is currently up for a vote.

That would be someone else's job to do. Not mine.

Until that is motioned and seconded, there is only the original up for a vote.

In time maybe someone will make that one official. We can leave that open.

 

To move this process along and to not get hung up,
I would like to make a motion that we now look over the new changes in ARTICLE III: OFFICERS and debate this and bring these up for a vote.

Either the whole ARTICLE III Section by Section and all as a whole depending on how you personally care to vote.

I'm now asking for a Second on this Motion.

ARTICLE III: OFFICERS

Section 5: THE DUTIES OF THE BOARD MEMBERS AND THE OFFICERS
Executive Board: Shall be responsible for: administrating, actuating, or executing any works or programs decided upon by the Church; developing the Church of the Good Earth’s annual budget, if any, establishing and overseeing committees to conduct the work of the Church of the Good Earth, establish fundraising programs, if any, and to approve by majority vote of the Board any unbudgeted expenditures. Those expenditures that are not approved of as a regular month after month expense or recurring bill.

A: Executive Directors: There may be General Board Members (a council, so to speak). These positions may not carry any specific demands or responsibilities. Each General Board Member has a vote on the Board on any item. This position shall be known as General Board Members, Executive Directors, Council Members, Directors or other titles. All Executive Directors of the Executive Board are officers of this corporation.

These Executive Directors may have specific titles and assignments as needed and approved. These same may be Department Chairs or Committee Chairs.

I have cast my vote already. It was a yes on all articles in the by laws with changes standing as newly written

 

My motion now is to have us review the new rewrite portion where we would be able to function with 3 officers rather than 6 officers. Because we don't have 6 people.

B: President: President, also know as the Chairperson or the Director. The President shall preside over general organization meetings and Executive Board meetings, serve as the official representative of the organization, and retain all official records of the organization. Execute and be the administrator of any works or programs. Oversee any committee system of the Church of the Good Earth.

This position maybe co-chaired by more than one person, as needed.

C: General Secretary: The General Secretary shall have all of the responsibilities of a Vice President, including presiding over general organization meetings and Executive Board meetings in the absence of or instead of the President, serving as the official representative of the organization, and the responsibility of retaining all official records of the organization. Oversee any committee system of the Church of the Good Earth.

Act as a Recording Secretary and thereby record and distribute minutes of all Executive Board meetings and all general Church of the Good Earth meetings, prepare agendas for up coming official Church of the Good Earth meetings, and hold historical records for the Church of the Good Earth.

The position may possibly act as a Communications Secretary. managing communications and marketing for the Church of the Good Earth, including but not limited to Church of the Good Earth newsletters, email broadcasts, website, bulletin boards, etc.

This position maybe administered by more that one person, as needed.

D: General Treasurer: Serve as custodian of the Church of the Good Earth’s finances, collect revenue, if any, pay authorized expenses, if any, follow all financial policies of the Church of the Good Earth, and hold all financial records.

I stand on my vote as a yes on the revised Articles and vote yes on 3 Officers instead of 6.

 

And please, everybody read these. The officer positions listed above.

Please understand that running for and being an officer is WORK. It is not just a fun title. It is a big responsibility. Quarterly paperwork and quarterly book keeping must be finished, read, and approved by the Board, signed off on, by the officers, and mailed out with 10 days. This is all work. It must be done or we loose everything.

You must read and understand all pertinent information of the I.R.S. website and on the state website. If you become an officer, you are responsible for everything and all of the deadlines. Do not take this lightly.

We are needing to elect officers, now. Before sending in the incorporation filing paperwork. The full legal names and residential addresses, are part of a filing. Real names.

You are filed with the state and the fed and the I.R.S. with your name and address and your name and address goes on the "Doing Business As" (D.B.A.) filing.

Officers must do the work.
