    Seems that no one is venturing any new ideas or anything.

    Its been 5 days of meeting time since I last posted.
    Please say what you think.

    We will discuss and vote on the changes in the By Laws.

    I call this meeting to order.

    The first thing we need to discuss is the Changes in the Finance Dept.
    These are the changes.

    Section 1: FISCAL YEAR
    The fiscal year of the Church of the Good Earth begins January 1 and ends December 31 of each year.

    Section 2: GENERAL MONITARY POLICY
    At the inception of this organization there are no income sources, and there are no member dues. Owing to this, any minor cash that may be amassed may be held as petty cash, and records shall be kept as to both the income and to the outlay. There shall be regular dated weekly tallies, as needed, to reflect changes. These shall be summed and presented monthly. All of these shall be totaled and presented every 3 months as quarterly reports, and again as annual reports. If prescribed by law, these same quarterly and annual reports shall be reported to the proper government agencies.

    Section 3: BANKING
    If funds are amassed, by whatever means, of sufficient enough size to necessitate a bank account, then a bank account may be established. Funds shall be kept in said bank account in the name of Church of the Good Earth, requiring one (1) signature(s) of the Executive Board and held at a convenient financial institution. The exceptions would be for petty cash on hand, or for the necessity of having cash in hand for a pre-approved project and/ or for a pre-approved cash payment.

    Section 4: REPORTING
    All financial activity shall be recorded in a computer-based or manual accounting system. The General Treasurer shall reconcile the account(s) monthly and report all financial activity monthly. Records will be public to the operational membership. The Church of the Good Earth may arrange an independent review of its financial records each year, if so desired.

    Section 5: ENDING BALANCE
    The organization shall ideally leave a minimum of $2,000 in the treasury at the end of each fiscal year for the next year’s expenses, if that amount of money exists.

    Section 6: CONTRACTS
    Authority to sign contracts is limited to the President or the President’s designee.








    ARTICLE VI: BYLAWS AMENDMENTS
    Any Operational Member of the Church of the Good Earth may propose amendments to the bylaws. Amendments presented at a Church of the Good Earth meeting shall be considered for voting at a subsequent meeting. Two-thirds (2/3) approval of all Operational Member participating in the meeting and voting is required to adopt an amendment to the bylaws.


    ARTICLE VII: SEVERABILITY
    If any part or portion of any Article, Section, or Amendment is found to be an Illegal action for the operation of the organization to use in its proceedings or that would be found to be contrary to the nonprofit status of the organization, then that part or portion shall be stricken from the amended bylaws Section and be held as severed, and the remainder of that Section shall stand alone, and in force.


    ARTICLE VIII: PARLIAMENTARY AUTHORITY
    The authority for this organization shall be Robert’s Rules of Order Newly Revised, or by consensus, or by the traditional Native American “Talking Stick” method. Whatever the meeting participants choose.


    ARTICLE IX: INDEMNITY
    Under no circumstance may, will, or shall any of the officers of the Executive Board or any members be held financially libel or otherwise libel for any actions, aggregations, or polices which are or are not of the organization, Church of the Good Earth.


    ARTICLE X: DISSOLUTION
    In the event of the dissolution of the Church of the Good Earth as an incorporated entity, any funds remaining must be donated to another 501(c)(3) nonprofit or to a nonprofit Church or Philosophical group, and this is also Federal Tax Law.

    As you can see, the changes leave us room to grow and is stated that we have no finances at this time.

    We're needing a vote on Each Article.

    Example:

    Article 1: Fiscal Year . Yes/no
    Article 2: General Monetary Policy. Yes/No
    and so on.

    I second the Motion that we open this meeting.

    The Chairwomen should ask "All in favor say Aye"
    "Those oppossed - Nay."


    If opened.
    I second the Motion that we open Vote on these Articles and the section changes.

    These are the main changes.
    ARTICLE V (5)

    Section 2: GENERAL MONITARY POLICY

    Section 3: BANKING

    Section 2 says that we not not even have any money. And that's ok. It states the obvious. We have to report any monthly totals to the members. That we have to do quarterly reports to the State and to the Fed.

    Section 3 in changed from We Must have a bank account to if we don't have enough money to start up a bank account then its okay for us to not have one.

    That's the basic changes here. Spud and Ace have already voted to approve the rest.

    Hey I got the sample bylaws from the P.T.A. national website. They're obviously I.R.S. approved. That's why I grabbed them.

    On
    A7...Question, if it takes two meetings to amend bylaws do we need two meetings to establish said bylaws?

    This one is kind of standard preceedure. New Bylaw amendments or and changes would be purpose by any member at a general meeting. (Not Board meetings) It would be purposed and seconded. Discussion could presue. The vote could be scheduled the next meeting. This would give time for notification to all. And allow time for and one who is oppose to mount their campaign and for those who are for it.

    At the next General meeting more debate could be welcomed before any vote.
    So, yes we would need two meeting. General meetings. All vote on any amendments.

    However, if there's a rush, nobody says that we can't have one meeting one day and the next meeting on the next day. As long as everybody is properly notified of the meetings.

    OH, you mean these initial bylaws. No.
    And Cakes says that this is our second meeting anyway.

    On this question:

    If its good enough for every chapter of the P.T.A. its good enough for me.
    I would assume that any type of major contract would need to be approved by the board. At least.

    This is a great question though.

    As these are being posted out of their natural order.

    Executive Board: Shall be responsible for: administrating, actuating, or executing any works or programs decided upon by the Church;


    This would mean that a decision would have to be made first or voted on. Just to clarify.

    I think what this is stating is that no one may sign contracts or make business commitments. Only the president.

    By The Way Mike knows that we are meeting and he will check stuff later when he wakes up. I expect this approval or disapproval process to take two days, probably.

    Of course the discussion and the vote remains open one each of these.

    I move that we put these forth to be debated and voted on. Do we have a Second on the Motion? Or Madame Chairperson might call for a Second, and then put this motion forward.

    ARTICLE III: OFFICERS

    Section 5: THE DUTIES OF THE BOARD MEMBERS AND THE OFFICERS
    Executive Board: Shall be responsible for: administrating, actuating, or executing any works or programs decided upon by the Church; developing the Church of the Good Earth’s annual budget, if any, establishing and overseeing committees to conduct the work of the Church of the Good Earth, establish fundraising programs, if any, and to approve by majority vote of the Board any unbudgeted expenditures. Those expenditures that are not approved of as a regular month after month expense or recurring bill.

    A: Executive Directors: There may be General Board Members (a council, so to speak). These positions may not carry any specific demands or responsibilities. Each General Board Member has a vote on the Board on any item. This position shall be known as General Board Members, Executive Directors, Council Members, Directors or other titles. All Executive Directors of the Executive Board are officers of this corporation.

    These Executive Directors may have specific titles and assignments as needed and approved. These same may be Department Chairs or Committee Chairs.

    Note that Section 5 has been added to, from the original that was posted before and e-mailed out to people.

    A: Is brand new and used to describer general board members. This way we may legitimately have regular board members. As many or as few as we choose. With or without titles. Before, they all had to have titles and jobs.

    As I see it, as it is stated in A. 3. We all can co chair each and any board/committee and hold discussion and voting, when two or more are present, in times when there is only 1 person available, 1 person can make a decision on minor issues. To be brought up/changed at the next official meeting or emergency meeting.

    When we vote on officers as needed for the state we will then names the officers/director to their co-positions and responsibilities.

    When we are through voting on the Sections and Articles, we can then proceed to voting on officers.

    Yeah, that's about it. Just like one would think.

    I will post the officer's changes next but I'm trying to do one bit at a time so that in makes it all easier to take in and understand.

    I've shrunk the 6 officers down to 3, because we don't have all that many people. I'm trying to reduce everything so that if there's only 4, 3 , 2 or 1 of us, the corporation would not be closed down by the state for being in violation of its own rules. They can and will do that, you know.

    So, officers next. This is just general duties and adding regular board members. making the board size expandable, too
