I have to go for a bit bb in about 30 minutes or so, or less

 

its been very cold here at night. i have central heating but its propane. so ive been taking my hair dryer to bed with me and running it on low.

 

I'd be wary of taking a hair dryer to be with me..can't you get a space heater for your room??

 

So, yesterday morning Steven calls me, all flipping out, and getting on me about who is this Chris Wah guy who got nominated for president, and does he know him. And he thought that he was suppose to be president, and how dare they, and what's this all about, and maybe he'll just quit us and all this kinda shit.

I tried to explain to him who Chris is and that it wasn't for president anyway and that Chris would refuse because of his illness. Everybody knows that.

I explained to him several times that it was not for president. That we were just trying to be official and trying to start some kind of official meeting as a committee thing, just to have people submit their own versions of bylaws. Just to get a debate and discussion going.

I said we were trying to get a temporary chairperson, for the sole purpose of discussion.

He was NOT listening. He remained irate. I explained several times. Finally he said that he was going to get to the bottom of this, and said that he was going to call Mary, and he hung up on me just like that.

WTF. I don't need this.

He's not on-line or he would have read what it really said. So, he got this shit by talking to someone who is here in this group, on the phone. Me Mary Mike or Ranger.

So, I'm not going to play anymore.

I helped all that I could. I am trying to devote my real time and energy to MY Museum Project. I've spent all the time that I'm going to on this (G E).

Now I've been told by others (on the phone and by private message) that Steve wants the Museum project. It should be GE. So he can control it. That he hates me. And he expects to walk in and run and own everything, and to be president without having any election or a vote.

I'm not joining that club. Thank you very much.

OH! And the whole book project. We should throw out everything and the whole book should be about homeless Vets. And their troubles.
Okay. Whatever. I'm gone.

I'll be around here just to chat. Ranger and Steve can talk about me behind my back. And compare notes about whatever.

I just dropped by to read up as Mary (I always knew her as nailcakes) I heard via an e-mail that folks wanted me to possiable do something re: C of G.E. reformation. First off and please let Stacy know I was never an Offical G.E. Member but I was of STP roots and came and went OFTEN from 69 my first visit to 74 late winter to the Cole St and Oak St and The Haight as I was always comming and going. Here was my reply to Nailcakes when I heard someone had thought I might help. It speaks for itself. Right now I truly cannot accept a nomination to become a Director and I am very sorry. Currently, as you know I am in recovery from a MAJOR neck surgery AND I need to do all the year end stuff for my Halawa Valley Foundation! Sheila and I leave to get back over there on the 14th of Jan. That is the first date that my doctors will FINALLY let me travel. I have board meetings already scheduled in March at my place going on in Hawaii March 23rd, we/I do most of this as no one else knows how to do it easily, like all compliance/tax shit/including the tax return for IRS. I also do all the State of Hawaii Reporting.

I am flattered that you want my help and if things were different I could possible accept. I know how serious you are about this. You want to make sure that you have Board Members who are as focused as you are especially in the formation stage. . I am fairly sure you will need a minimum of 3 Directors to get your first meeting up and running, BUT you sometimes can get away with 2 and I have seen the rare occusaion where just 1 Director/OR more aptly called "the Incorporator" can.get things off the ground.

Now there may be some different stuff than is needed for the Standard 501c/501c3's as you want to carry on as a CURCH! BUT this info I am sure is on the IRS web site. If you need to you may be able to use a library computer if yours cannot print stuff.

At the first meeting you also will need to elect/appoint your officers (Pres, VP, Secretary) and their Job Descriptions etc at the meeting then turn the meeting over to them. ALL of this should be laid out in your BYLAWS. ALSO what you are going to do in the first meeting (ALL MEETINGS) should be the AGENDA for the meeting, This AGENDA goes out with the Notice of Meeting mailings.. You also need to either have The NOTICE of MEETING sent out to all of your Directors at least 7 to 10 days before meeting. Ours is 21 Days before a meeting!!

BUT in leu of sending out the Notices of Meeting forms, you can have have every one sign a "waiver of noticed" form. This is super easy and allows you all to decide when and where to meet and just sign the "Waivers" so that you will be in compliance for your meeting. I have all these forms and I think I offered to fax these to anyone who may have a fax. All this little stuff is actually the important clerical and Compliance stuff you keep in the Coporate Book with the eventual munites of said meetings..Notices of Meetings/minutes etc. in order.

OH yeah when you send in your "Articles" to the State you will also need to name an Officer or Director or someone and also the ADDRESS of the entity as your AGENT for "SERVICE of Process". This is so in the case anyone ever needs to contact the entity or serve it papers there is a place on Record to contact you.. This is uasually the addy of the PLACE OF THE BUSINESS and the person is uasually the Secretary. It really is not hard it is just one of those things that you must do to ensure you are compliant IF you ever need to prove anything to any legal entity or other members. For your initial FORMATION MEETING the AGENDA should put all these things I have discussed here (short bullit points) with the last item being discribed as "ANY OTHER BUSINESS THAT MAY ARISE DURING THE FORMATIONAL MEEEING"

Nails, since you intend to be registered a Churchs you may need to keep some different records than the standard 501c3!

Go to the IRS web site and Click on the non-profit and you can get a lot of the "WHAT DO WE NEED for the Feds" stuff explained and possible get you access to the forms you need too!.

I also have over three years of NON PROFIT do and don'ts regarding tons of shit from my membership to a NON Profit compliance guru magazine. If we can send them to you via electronic means I will gladly give them to you. THEY ARE GREAT and cover shit I never thought about!!!

All this displaced energy will soon get to the spot it belongs, nothing worth while is easy. This is not the time to build Walls, it is a time for Building Bridges, that we all may reach the other side under GRACE in the most perfect way.

Conflict begets conflict. Negative energy draws likeness to itself as does LOVE draw POSITIVE Energy into itself.

We must keep positive and on target.

We all want to have it this way or that. we all want to be im[portant in what we do, but this is not about what is best for one individual it's about what is best for the ALL.

We have got it how we are going to present it. There'll be no more discussion, no more voting. It is what it is until it changes and we will deal with any changes when we get to that point and not before.

It will take a few months to get our non-profit status from the FEDs, so can we all just chill out and have patience. Stop all this nonsense and be cool.

When I see discord and confusion over things that can be resolved with a little LOVE and understanding, then that is what we need to 'use' here.

I am not inclined to being bullied or talked into anything that is not in The Light.I will not allow Bad Karma to taint us. We have already lived out the Karma from the 60s/70s.

When we get ourselves in a situation to do good works for 'others' we will work on that. RIGHT NOW we have to get ourselves helped.

Can we drop the EGO playing and get real. You Boys need to stop your pissing match over control. I got this as far as I can take it by myself. I need each of y'all's help, we are in this together. ONE FOR ALL AND ALL FOR ONE. NO ONE is the BOSS, we are all equals. But in the biz part we have to have a CEO. I am CEO, until we become an entity. Then we can take a formal vote on directors.

Everyone knows what is required of them right now, it is not for public knowledge at this point. Follow through with what we have got going.
