The problem as I see it is that General Kenny fails to consent to procedings as they stand.

 

Kenny just wants to make sure we are doing this right so the state will accept our request. He is right to do so as he was concerned about rejection and why he respectfully asked for Chris's Opinion, which I misunderstood as asking Chris for a Vote

 

That's all fine by me. I still would like to see Kenny list his points/objections one at a time and in order with supporting documentation (original post and relevant passage from RRofO) so they can be dealt with in an orderly fashion if need be.

Here's the deal. If we did all of this Cake's way, we would have closed the meeting, like almost a week ago, with no changes to any of the bylaws, that we all right now believe are so very critical to have had changed. We would have no Executive Board or Council, we would have No pres, secretary, or treasurer, and nothing else that we all have accomplished here. We'd have none of that.

Meaning that the whole filing would have been improperly, a waste of cash that we don't even have, and we would have to sit and wait for 2 months to have the state reject our nonprofit incorporation.

Cakes you promised me that you would read EVERYTHING about filing of a nonprofit incorporation and that you would understand it all, BEFORE you mail in anything.

Have you gotten around to doing that yet? Or are we just mailing in shit and not caring at all cause were in a hurry. We need to read and understand what we are doing in Texas. DO IT. Did you do it????

If we're not doing it right, why bother to do it at all? The state and the fed are just looking for any reason at all to say NO. Are we trying to help then out to say NO on purpose?

I have read some of the IRS.gov website about nonprofit incorporation and rules for application. Not all but some. Has anybody else???

You treat this as a joke. You have to do things there way. This is Fed Tax and State tax. You can't just say, I'll do it all my own way. That garauntees that you lose your nonprofit.

I have read and I do understand.. and if you noticed that no one came forward untill a motion was made to close the meeting. So by my eagerness to, as you said, get er done, I have brought ppl forward to motion and vote. so my strategy worked in the end.

I move that the Official Minutes go ahead and show that we didn't bother even to try to follow any vague concept of parliamentary procedure that could even be vaguely acceptable to the state or the fed.

That we close the meeting with 1 or 2 votes to close it. And that we run right out an mail shit in to the state as fast as humanly possible.
