    I will now post all of ARTICLE III in its entirety. Its the longest part of the bylaws. Some, the main changes are posted above.

    I hereby move the we read it debate it in each part if necessary, and go forward and vote on it.

    ARTICLE III: OFFICERS

    Section 1: EXECUTIVE BOARD
    There shall be an Executive Board with Board members or Directors of whom there shall be the Officers of the corporation. This Board shall guide and govern this organization. This Executive Board may interchangeably be know as the Board of Directors, the Board, the Council, and by other names. The number of Directors shall be determined by vote.

    Section 2: OFFICERS OF THE CORPORATION
    The Executive Board shall consist of the following officers: the President, also know as the Chairperson or the Director; there shall be a General Secretary in whose responsibilities shall also act as Vice President and as a Recording Secretary and as a Communications Secretary; there shall be a General Treasurer, who, if needed, may stand in for any of the other responsibilities or positions. If there is ever a need, necessity, or desire, than one person may cover more than one position, thereby taking care of all responsibilities and fulfilling all of the positions.

    Section 3: TERM OF OFFICE
    The term of office for all officers is 4 years, beginning January 1 and ending on December 31.

    Section 4: QUALIFICATIONS
    Any Operational Member in good standing may become a Board Member and/or an Officer of the Executive Board of the Church of the Good Earth organization.

    Section 5: THE DUTIES OF THE BOARD MEMBERS AND THE OFFICERS
    Executive Board: Shall be responsible for: administrating, actuating, or executing any works or programs decided upon by the Church; developing the Church of the Good Earth’s annual budget, if any, establishing and overseeing committees to conduct the work of the Church of the Good Earth, establish fundraising programs, if any, and to approve by majority vote of the Board any unbudgeted expenditures. Those expenditures that are not approved of as a regular month after month expense or recurring bill.

    A: Executive Directors: There may be General Board Members (a council, so to speak). These positions may not carry any specific demands or responsibilities. Each General Board Member has a vote on the Board on any item. This position shall be known as General Board Members, Executive Directors, Council Members, Directors or other titles. All Executive Directors of the Executive Board are officers of this corporation.

    These Executive Directors may have specific titles and assignments as needed and approved. These same may be Department Chairs or Committee Chairs.

    B: President: President, also know as the Chairperson or the Director. The President shall preside over general organization meetings and Executive Board meetings, serve as the official representative of the organization, and retain all official records of the organization. Execute and be the administrator of any works or programs. Oversee any committee system of the Church of the Good Earth.

    This position maybe co-chaired by more than one person, as needed.

    C: General Secretary: The General Secretary shall have all of the responsibilities of a Vice President, including presiding over general organization meetings and Executive Board meetings in the absence of or instead of the President, serving as the official representative of the organization, and the responsibility of retaining all official records of the organization. Oversee any committee system of the Church of the Good Earth.

    Act as a Recording Secretary and thereby record and distribute minutes of all Executive Board meetings and all general Church of the Good Earth meetings, prepare agendas for up coming official Church of the Good Earth meetings, and hold historical records for the Church of the Good Earth.

    The position may possibly act as a Communications Secretary. managing communications and marketing for the Church of the Good Earth, including but not limited to Church of the Good Earth newsletters, email broadcasts, website, bulletin boards, etc.

    This position maybe administered by more that one person, as needed.

    D: General Treasurer: Serve as custodian of the Church of the Good Earth’s finances, collect revenue, if any, pay authorized expenses, if any, follow all financial policies of the Church of the Good Earth, and hold all financial records.

    Section 6: BOARD MEETINGS
    The Executive Board shall meet monthly during the year, or at the discretion of the President.

    Section 7: REMOVAL
    An officer can be removed from office for failure to fulfill his/her duties, including for absenteeism from meetings or from lack of participation, after reasonable notice, by a majority vote of the Executive Board. So too, any Board Member may be removed from the Board for the same.

    Section 8: VACANCY
    If a vacancy occurs on the Executive Board, the President shall appoint a Church of the Good Earth operational member to fill the vacancy for the remainder of the officer’s term.

    I don't want to be a poopie head, but are we voting on the new Section III concurrent with debate (if any), or do we need to hold the floor open for X:XX time to permit possible discussion to the Motion before voting begins?

    As we are all in different timezones and online and off line we are leaving the voting open on everything so that if someone shows up say tomorrow, they can still make motions, debate, and even still vote. the last meeting was open for 10 days. Anything said was valid.

    I don't understand what if anything has been amended.

    Could we be specific. I was under the impression the AC was referring to what Ranger had post. Although I don't know which because Ranger was talking about 2 different SECTIONS. And AC didn't specify what or which.

    I didn't see a written change of a Section. I didn't hear a Motion made. I didn't hear a Second.

    I got know idea what you guy are talking about and I have the real feeling that Mary is talking about one thing and AC is talking about another thing.

    Can we clear this up please?

    If we can get all of this put to bed so that she can file, Then we get to vote for officers. And then we're all done, and she can file, which is what this is all about.

    However there is absolutely nothing wrong with discussing, debating, or making changes in anything or adding to anything.

    Its what we're about.
    Just write down what you want. Make a motion for that to be an item to be voted for. Ask for Mike to Second it. Than the Chair should hold it up for debate and then a vote.

    That's the whole deal.

    Mission Statement



    The whole Earth is a church, and we are all a part of the Good Earth.

    Everyone is a member.


    All churches are about fellowship and community, a sense of belonging for each individual, a sense of unity, and in this light and for this propose we do establish this, the Church of the Good Earth.


    Every person on the Good Earth believes in what they each believe in. Belief is an individual thing. We, therefore, establish to include non-denominational, multi-denominational, singularly denominational, and include mystics, shamanistics, Gnostics, agnostics, atheists, and existentialists, and all other people's feelings and beliefs and disbeliefs, and philosophies and theosophies.


    We believe in any and all methods of seeking and communing with said god or goddess, each in one’s own view, and believe in any and all sacraments in all forms for these religious or philosophical purposes.


    It is hoped that in this unity we may grow to have the ability to help each other and to help others, and to help the poor, the homeless, the hungry, the addicted, and any who may be in need of help or direction.

    Bylaws



    ARTICLE I: NAME, DESCRIPTION, & PURPOSE

    Section 1: NAME
    The name of the organization shall be Church of the Good Earth. Hereafter, within this document this Church of the Good Earth may be referred to as the Church, the entity, the organization, or the corporation. The Church of the Good Earth organization’s legal central office location is at 1184 CR 3144, Suite 101, Quitman, TX. 75783.

    Section 2: DESCRIPTION
    The organization is a nonprofit organization that exists for charitable, educational, and religious and philosophical purposes, including the ability to be able to make distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code.

    Section 3: PURPOSE
    The purpose of the organization is to enhance and support the individual’s experience as a part of the Good Earth, to develop a closer connection between people, as a fellowship or a community, to help to grow in one’s beliefs, to share, and to know more love, all though greater personal involvement, and to improve the Earth by spreading a positive message and by aiding other people through volunteerism and financial support.



    ARTICLE II: MEMBERSHIP

    Section 1: GENERAL MEMBERSHIP
    Membership shall be automatically granted to all persons of all ages who live upon the Earth. There are no membership dues at this time. General Members have no voting privileges within the corporation.

    Section 2: OPERATIONAL MEMBERSHIP
    This Membership shall involve members who have chosen to become involved in the actual and or the official operations of the church itself as a legal incorporated entity. There are no membership dues at this time. Operational Members have voting privileges.

    Section 3: HOW MEMBERSHIP STATUS IS CHANGED
    If, over time, any General Members choose to apply themselves actively within the organization, these Members may then request a change of status. The Executive Board shall review each request at a meeting. If each person passes review, then a vote will be taken in regard to each Member’s case. If passed, the Member will be instated as an Operational Member.
    Conversely, the opposite may occur. Operational Members who have lost all interest and fallen out of participation may be reviewed by the Executive Board and be placed as General Members.

    ARTICLE IV: MEETINGS

    Section 1: GENERAL MEETINGS OF THE CHURCH OF THE GOOD EARTH
    General Church of the Good Earth meetings shall be held to conduct the business of the Church of the Good Earth. General Meetings shall be held at least 4 times per year, or at the discretion of the Executive Board. Operational Members shall be notified and invited to all General Meetings.

    Section 2: VOTING
    Each Operational Member actively participating in a Church of the Good Earth meeting is eligible to vote, one vote per Operational Member. Executive Board members are, by definition, Operational Members. Proxy votes are not allowed.

    Section 3: METHOD OF MEETING
    Any communications method may be used for the purpose of having a meeting or meetings, electronic, Internet, mail, e-mail or other.



    ARTICLE V: FINANCIAL POLICIES

    Section 1: FISCAL YEAR
    The fiscal year of the Church of the Good Earth begins January 1 and ends December 31 of each year.

    Section 2: GENERAL MONITARY POLICY
    At the inception of this organization there are no income sources, and there are no member dues. Owing to this, any minor cash that may be amassed may be held as petty cash, and records shall be kept as to both the income and to the outlay. There shall be regular dated weekly tallies, as needed, to reflect changes. These shall be summed and presented monthly. All of these shall be totaled and presented every 3 months as quarterly reports, and again as annual reports. If prescribed by law, these same quarterly and annual reports shall be reported to the proper government agencies.

    Section 3: BANKING
    If funds are amassed, by whatever means, of sufficient enough size to necessitate a bank account, then a bank account may be established. Funds shall be kept in said bank account in the name of Church of the Good Earth, requiring one (1) signature(s) of the Executive Board and held at a convenient financial institution. The exceptions would be for petty cash on hand, or for the necessity of having cash in hand for a pre-approved project and/ or for a pre-approved cash payment.

    Section 4: REPORTING
    All financial activity shall be recorded in a computer-based or manual accounting system. The General Treasurer shall reconcile the account(s) monthly and report all financial activity monthly. Records will be public to the operational membership. The Church of the Good Earth may arrange an independent review of its financial records each year, if so desired.

    Section 5: ENDING BALANCE
    The organization shall ideally leave a minimum of $2,000 in the treasury at the end of each fiscal year for the next year’s expenses, if that amount of money exists.

    Section 6: CONTRACTS
    Authority to sign contracts is limited to the President or the President’s designee.



    ARTICLE VI: BYLAWS AMENDMENTS
    Any Operational Member of the Church of the Good Earth may propose amendments to the bylaws. Amendments presented at a Church of the Good Earth meeting shall be considered for voting at a subsequent meeting. Two-thirds (2/3) approval of all Operational Member participating in the meeting and voting is required to adopt an amendment to the bylaws.


    ARTICLE VII: SEVERABILITY

    If any part or portion of any Article, Section, or Amendment is found to be an Illegal action for the operation of the organization to use in its proceedings or that would be found to be contrary to the nonprofit status of the organization, then that part or portion shall be stricken from the amended bylaws Section and be held as severed, and the remainder of that Section shall stand alone, and in force.


    ARTICLE VIII: PARLIAMENTARY AUTHORITY
    The authority for this organization shall be Robert’s Rules of Order Newly Revised, or by consensus, or by the traditional Native American “Talking Stick” method. Whatever the meeting participants choose.


    ARTICLE IX: INDEMNITY
    Under no circumstance may, will, or shall any of the officers of the Executive Board or any members be held financially libel or otherwise libel for any actions, aggregations, or polices which are or are not of the organization, Church of the Good Earth.


    ARTICLE X: DISSOLUTION
    In the event of the dissolution of the Church of the Good Earth as an incorporated entity, any funds remaining must be donated to another 501(c)(3) nonprofit or to a nonprofit Church or Philosophical group, and this is also Federal Tax Law.

    Hello again I am just trying to help not hinder. I am offering just general info that I have learned, compiledand or actually went through. Here is something that you can file away regarding Directors.

    Whenever there is a major scandal at a charitable organization, one question almost inevitably arises: Where was the Board? THE DIRECTORS. I looks like you have a lot of duties for the Directors?

    The Board is responsible for the organization. It can add insight and muscle to make an organization thrive. But it can also fail to pay attention, leaving the possibility of organizational failure and personal liability.

    There are both individual and group responsibilities to follow so that it(501c3/4) can thrive rather than fail.

    Directors' have fiduciary duty, particularly the duty to "ask dumb questions." to reduce the risk of personal liability.

    Good directorship will insure the organization is more effective, understanding "whose organization is it?", and assuring procedures that make board meetings more productive and the organization more effective.

    If you are currently serving on a board, considering serving on a board, or are top staff responsible for helping run board meetings, you will/should have practical insights on the board-staff dynamic so critical to the success of the organization.

    Webinars are good methods to hold meetings of Nonprofit Organizations.
    What is a webinar? A webinar is primarily a telephone conference call. You can participate alone or gather people around your conference phone and ask your questions. In addition to the audio portion, you can also follow along on-line as you review a presentation. This can allow all to participate over telephonic/internet methods.

    I have not seen anything regarding WHO are your Directors. I MAY HAVE missed where you discussed this but I was wondering if this has been a topic of the online discussions you are in!

    I hear you. Excellent!

    As to directors. Shameless Heifer and I were trying to set up Bylaws within a General Meeting first, in order to define the "Board" and What "Officers"

    This would define the board and its general duties, and the officers and their general responsibilities. That was the basic thought.

    If the rules get done, and the rules state what the board is and does, and how many officers, and what their general duties are, than we could go forward with the nominations of candidates and elections to the offices. This was thought to be the best flow of things.
